Terms and Conditions

General terms and conditions for the rental of event spaces

These General Terms and Conditions govern the provision of event spaces at the weXelerate Hub. This English version is a convenience translation. In the event of any discrepancy, the German version prevails.

§ 1 Scope

(1) These General Terms and Conditions ("Terms") apply to all contracts for the provision of event spaces and related services between weXelerate GmbH, Praterstraße 1, 1020 Vienna, Austria, commercial register number FN 459366p ("weXelerate"), and its contractual partners ("Client").

(2) These Terms are intended for businesses within the meaning of § 1 of the Austrian Consumer Protection Act (KSchG). They apply to consumers only to the extent that mandatory statutory provisions, in particular those of the KSchG, do not prevail. Provisions expressly marked as applying to businesses only do not apply to consumers.

(3) The Client's own terms and conditions do not become part of the contract, even if weXelerate does not expressly object to them. Individual agreements in the offer or in the booking confirmation take precedence over these Terms.

(4) The rental of offices and co-working desks is not covered by these Terms; separate contracts apply.

§ 2 Conclusion of Contract and Reservations

(1) A contract is concluded only when weXelerate confirms the Client's booking in writing or electronically, for example by email. Use of an event space requires this confirmation.

(2) A reservation or provisional booking of a date does not create any claim to the space unless weXelerate has expressly committed to it in the confirmation. Both parties shall notify each other without delay if a provisionally booked date is to be used otherwise or will not be taken up.

§ 3 Subject Matter and Use

(1) The event space is provided exclusively for the purpose stated by the Client. The exact description of the space and its purpose of use are set out in the offer. Any change of purpose requires a written agreement.

(2) The scope of services and the equipment of the space are set out in the offer. Information on the website, for example on floor areas, capacities and equipment, is a non-binding guide. Claims based on the absence of a particular feature exist only if weXelerate has expressly promised that feature.

(3) No alterations may be made to the space, its fixtures or its equipment without weXelerate's written consent.

(4) The sale or free distribution of food and drinks by the Client requires weXelerate's written consent.

(5) The space may not be passed on or sublet to third parties without weXelerate's written consent.

(6) The Client ensures that all participants comply with the house rules and with the instructions of weXelerate staff, in particular regarding safety, fire protection and escape routes.

(7) Restrooms and spaces are cleaned every morning. Additional cleaning is available on request for a separate fee.

§ 4 Defects

(1) If the Client or the event manager appointed by the Client finds defects or damage to the space, these must be recorded in writing and reported to weXelerate without delay.

(2) Businesses only: Warranty is excluded for defects not reported at the latest upon handover of the space. A reduction of the fee on account of defects may only be considered if the Client gave written notice of the intended reduction during the period of use.

§ 5 Period of Use and Return

(1) The space is provided for the period agreed in the contract. The Client shall allow for set-up, decoration and dismantling times when booking.

(2) At the end of the period of use, the space must be returned in the condition in which it was received. Items left behind may be removed at the Client's expense. If the space is not returned on time, the Client owes compensation equal to the agreed fee for the time exceeded, or the amount set out in the offer.

(3) Additional hosting fees may apply for services before 8 am or after 6 pm, as well as on weekends and public holidays.

(4) The Client ensures that music and other sounds do not exceed statutory limits and that third parties, in particular in the inner courtyard, are not disturbed after 9 pm. For legal reasons, all participants must leave the building by 10 pm at the latest.

(5) The Client cannot derive any claims from the fact that other events, including similar ones, take place in the building at the same time.

§ 6 Prices and Payment

(1) Prices and payment terms are set out in the offer. Unless stated otherwise, all prices are net plus statutory VAT.

(2) Unless otherwise agreed in the offer, invoices are due for payment immediately upon receipt without deduction.

(3) Statutory default interest applies to late payments; for businesses, the rate under § 456 of the Austrian Commercial Code (UGB). The right of withdrawal under § 10 remains unaffected.

§ 7 Data Protection and Photo and Sound Recordings

(1) The Client is responsible for compliance with the General Data Protection Regulation (GDPR) and the Austrian Data Protection Act (DSG) with regard to personal data the Client processes in connection with its event, for example participant data.

(2) weXelerate may make photo and sound recordings as well as drawings of the event and of exhibited or used items, and use them for documentation and its own promotion. The rights of the persons depicted, in particular the right to one's own image, are respected. The Client informs participants accordingly and may object to recordings in writing before the event. Details of how weXelerate processes personal data are set out in the Privacy Policy.

§ 8 Liability of the Client

(1) The Client is liable to weXelerate for personal injury, property damage and financial loss caused in connection with the event by the Client, its representatives, agents, guests or other third parties within its sphere. Businesses only: this liability applies regardless of fault.

(2) If administrative penalties or other fines are imposed on weXelerate or its agents because of the Client's breach of these Terms, the Client shall reimburse the amounts imposed without delay. weXelerate forwards any such decisions to the Client without delay.

(3) Any further statutory liability of the Client remains unaffected.

§ 9 Liability of weXelerate

(1) weXelerate is liable for damage only in cases of intent and gross negligence, and for slightly negligent breach of essential contractual obligations. Essential obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the Client may regularly rely.

(2) Businesses only: Except in cases of intent, liability is limited in total to the respective contract value.

(3) The above limitations do not apply to damage resulting from injury to life, body or health.

(4) weXelerate is not liable for damage resulting from measures taken to maintain safety and order. If an event is restricted, interrupted or cancelled on weXelerate's instruction due to a misjudgement of the situation, weXelerate is not liable for slight negligence.

(5) For items brought in by the Client, its employees, suppliers or other third parties on its behalf, including cloakroom items and items left behind, weXelerate is liable only for intent or gross negligence.

(6) For technical faults and interruptions of supply, for example electricity, water or internet, weXelerate is liable only for intent or gross negligence.

(7) To the extent weXelerate's liability is excluded or limited, this also applies to the personal liability of its employees, representatives and subcontractors.

§ 10 Withdrawal and Cancellation

(1) After setting a reasonable grace period with a warning of withdrawal, weXelerate may withdraw from the contract with immediate effect if

  • payments owed by the Client have not been received on time, or
  • the actual purpose of use differs materially from the agreed purpose.

(2) If weXelerate withdraws for one of these reasons, weXelerate's claim for damages against the Client is limited to the respective contract value.

(3) If the Client cancels the use of an event space and the related services, the date on which weXelerate receives the written cancellation is decisive. Cancellations are free of charge up to and including 28 days before the event date. For later cancellations, the following fees apply:

  • 14–27 days before the event: 25% of the contract value
  • 7–13 days before the event: 50% of the contract value
  • 0–6 days before the event: 100% of the contract value

(4) If the agreed event cannot take place due to force majeure, each party bears its own costs incurred up to that point. If weXelerate has advanced costs on the Client's behalf that would have to be reimbursed under the contract, the Client reimburses them in any case.

§ 11 Insurance

weXelerate may require the Client to provide proof of adequate insurance cover for the event, in particular liability insurance. The Client bears the costs. Proof must be provided no later than ten days before the event begins. On request, weXelerate will put the Client in touch with suitable insurers.

§ 12 Official Permits and Copyright Fees

(1) If the event must be registered or requires a permit under Austrian law, in particular under the Vienna Events Act (Wiener Veranstaltungsgesetz), the Client obtains the necessary registrations and permits in good time and at its own expense, and fulfils any conditions so that weXelerate incurs no expense. This also applies to copyright licences and fees, for example with AKM (www.akm.at). Compliance must be proven no later than ten days before the event. The Client or a person authorised by the Client attends any official inspection. The Vienna City Administration (Magistrat der Stadt Wien) provides information on whether registration is required.

(2) The Client warrants compliance with all trade and other statutory regulations and is liable to weXelerate for such compliance. The Client indemnifies and holds weXelerate harmless if an authority imposes penalties for breaches of such regulations in connection with the Client's event.

§ 13 Final Provisions

(1) Austrian law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. For consumers, mandatory provisions of the country of their habitual residence remain unaffected.

(2) The place of performance is weXelerate's registered office in Vienna. Businesses only: The competent court in Vienna has exclusive jurisdiction over all disputes arising from the contractual relationship.

(3) Amendments and additions to the contract must be made in writing; email is sufficient.

(4) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. Businesses only: The invalid provision shall be replaced by a valid provision that comes closest to its economic purpose.
